Article I - Name

    1.1     The name of this OCA Chapter shall be, PUGET SOUND CHAPTER

 

Article II - Purpose

    2.1     The dual purpose of this chapter is to further the interest in all types cf Oldsmobiles within this geographic region and aid in the promoting of events of interest in and around the home community of Oldsmobile.

    2.2     To conform to the purpose of our parent organization, The Oldsmobile Club of America, Inc. as stated in Article II of the bylaws.

 

Article III - Officers

    3.1     The Officers shall be President, Vice-President, Treasurer, and Secretary in descending order of rank.

    3.2     The Officers shall be elected by simple ballet for one year terms of office by the general membership present at the annual meeting.

 

Article IV - Chapter Representative

    4.1     A Chapter Representative to the PACIFIC NORTHWEST Zone shall be elected bya simple ballot for a one year term by the general membership present at the annual meeting.

 

Article V - Board of Directors

    5.1     The Board of Directors shall consist of the four elected Officers and the elected Chapter Representative.

    5.2     Three shall constitute a quorum.

    5.3     The highest ranking member present shall not vote except in the event of a tie vote.

    5.4     This chapter shall be managed by its Board of Directors who shall have the authority to act in all matters concerning this chapter, subject to OCA bylaws and to the provisions of these bylaws and to law.

 

Article VI - Duties and Responsibilities

    6.1     The President or other Board members, in descending order of rank, shall conduct meetings.

    6.11   The President shall be the principal officer ofthe club and shall perform all duties incident to the office of President 6.2 The Vice-President shall help the President with the business affairs of the chapter.

    6.3     The Treasurer shall keep the financial records of the chapter and shall furnish a financial report at each business meeting.

    6.31   The Treasurer shall be responsible for submitting the annual chapter fee to OCA.

    6.4     The Secretary shall keep accurate accounts of what transpired at each business meeting and shall give a reading of the minutes of any meeting at the next meeting.

    6.5     The Chapter Representative shall represent this chapter in all matters pertaining to the PACIFIC NORTIIWEST Zone and shall act as a liaison between this chapter and the PACIFIC NORTHWEST zone and the Oldsmobile Club of America, Inc.

    6.51   The Chapter Representative shall not be an Officer, Zone Director or Zone Coordinator of The Oldsmobile Club of America, Inc.

    6.6     All Officers and Board of Directors members shall fill in during necessary tiDies to handle routine business matters pertaining to the chapter and endeavor to hold the interest and good-will of the club members.

 

Article VII - Elections

    7.1     Election of Officers and Chapter Representative shall take place at the annual meeting each year.

    7.2     Nominations for Officers and Chapter Representative may be by written nomination signed by both the nominator and nominee or by written volunteer nomination by the candidate OT' oral statement at the annual meeting.

    7.3     Only active members (dues paid) shall run for an Officers or Chapter Representative position.

    7.4     All ballots are to be counted at the annual meeting each year.

    7.41   All ballots shall be cast in secret at each annual meeting.

    7.5     The term of office for each position shall be fi'om January 1 through December 31 of each year.

    7.6     Any vacancy shall be filled by appointment by the President.

 

Article VIII - Annual Meeting

    8.1     The purpose of the annual meeting each year is to hold the election of Officers and Chapter Representative and to handle whatever other business that may be necessary.

    8.2     The annual meeting must be held sometime during the last six months of the calendar year.

    8.3     Six members, one of which must be a member of the Board shall constitute a quorum.

    8.4     A fifteen day mail notice is required for the annual meeting.

 

Article IX - Meetings          .

    9.1     The number of meetings shall be determined by the Board except that there shall be at least one required annual meeting for the purpose of elections.

    9.2     The month of January shall be the start of the annual year.

    9.3     The date and place of meetings shall be determined by the Board.

    9.4     A Special meetings may be called by the request of any three members of the Board.

    9.5     All meetings shall be conducted in accordance with recognized procedure and Parlimentary Procedure shall be governed by ROBERTS RULES OF ORDER.

    9.6     The Secretary, or other Board member, shall notify all members by mail ofthe date, time and meeting place of each meeting.

    9.7     There shall be at least a seven day mail notiCe for all regular and special meetings.

    9.8     Six members, one of which must be a member of the Board, shall constitute a quorum for all regular and special meetings.

    9.9     The Board of Directors may meet at the beginning, during or end of any regular, annual or special meeting without a required mail notice.

 

Article X - Membership

    10.1    This chapter may offer the same class of membership as OCA.

    10.11   In order to be a member in this chapter, the member must hold a membership in the same class in OCA.

    10.2     Active members are those who have paid dues.

    10.3     Active, Honorary and Life members are entitled to receive any chapter newsletters.

    10.4     A Only active and Life members shall have the right to vote in the affairs of the chapter.

 

Article XI - Dues

    11.1     Annual membership dues shall be set by the Board.

    11.2     Annual membership dues shall run from January 1 to December 31 of each year.

 

Article XII - Chapter Requirements

    12.1     This chapter agrees to conform to all provisions of OCA bylaws affecting chapters, including but not limited to Articles XVI and XVIII of the OCA bylaws.

 

Articles XIII - Annual Regional Chapter Fee

    13.1     This chapter shall submit the fee to the OCA Vice-President in such a manner that OCA receives it no later than February 1 of each year.

    13.2     The Treasurer of this chapter shall be responsible for submitting the fee to OCA each year.

 

Articles XIV - Financial Policy           .

    14.1     This chapter agrees to take financial responsibilities for chapter obligations.

    14.2     This chapter agrees that all OCA membership applications and dues will be promptly forwarded to the national OCA.           .

    14.3     This chapter shall keep correct and complete books and records of account.

 

Articles XV - Bylaws

    15.1     Any proposed change in these bylaws must be presented to the general membership for vote by a simple majority vote of the Board..   .

    15.2     Any proposed change in these bylaws must then be voted on by mail ballot sent to each Active and Life member who will have a minimum 15 days to vote on the proposed change.

    15.3     A simple majority vote will approve the change in bylaws.

 

Article XVI - Dissolution

    16.1    This chapter agrees to follow Article XIX of the national OCA bylaws with regards to dissolution.
